4.4 Billing Cycle and Renewal

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for your personal or internal business purposes. This license does not allow you to:

  • Modify, reproduce, distribute, publicly display or perform, or create derivative works based on our Services or Content

  • Access or attempt to access our Services by any means other than the interface we provide

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

While we strive to provide accurate information, we cannot guarantee the accuracy, completeness, or timeliness of the Reports or Content available through our Services. Any reliance on such information is at your own risk.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FACTSS.IO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT YOU PAID US TO USE THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Factss.io and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

10. Termination

We may terminate or suspend your access to all or part of the Services, without notice, for any conduct that we, in our sole discretion, believe violates these Terms or is harmful to other users of the Services or third parties, or for any other reason.

Upon termination, your right to use the Services will immediately cease, and we may delete or remove any content associated with your account.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of changes by posting the updated Terms on our website. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or your use of the Services shall be resolved exclusively in the courts located in New York, New York.

13. General Provisions

These Terms constitute the entire agreement between you and us regarding your use of the Services, superseding any prior agreements between you and us relating to your use of the Services.

13.2 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by an authorized representative of Factss.io.

13.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

13.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.
